Before using the SheyGo services, please carefully read the "SheyGo Service User Agreement" (referred to as "this Agreement" below), especially the clauses regarding exemption or limitation of liability and the selection of jurisdiction court. Important clauses may be highlighted in bold for your attention. By confirming your full understanding and agreement, you can proceed to use the services. Whether or not you read this Agreement, once you start confirming this Agreement through the website or actually use the services, it will be deemed as your acceptance and acknowledgment of this Agreement.

Contracting Parties

This Agreement is jointly established by the user of SheyGo services (referred to as "You" below) and SheyGo (Guangzhou) Culture and Communication Co., Ltd. (referred to as "SheyGo" or "We" below).

 

Effectiveness of the Agreement

The content of this Agreement includes the main text of this Agreement and all privacy policies, rules, statements, notices, warnings, tips, explanations (referred to as "Rules" below) that we have published or may publish in the future. The above-mentioned Rules are an integral part of this Agreement and have the same legal effect as this Agreement.

SheyGo has the right to add and modify this Agreement and related rules as needed. The revised agreement and rules will be announced on the SheyGo official website seven business days in advance and will take effect after the announcement is completed. If you do not agree with the changes, you should immediately stop using the SheyGo services. If you continue to use the services, it means you have accepted the revised agreement and rules.

 

Acceptance of Terms

Logging in to access this website indicates that you promise to have read, understood, and accepted the following terms of use. If you do not understand or accept any part of these terms, please leave this webpage immediately. SheyGo reserves the right to update and modify these terms of use at any time without notice and has the right to take legal measures and request reasonable compensation for any violation of these terms.

If we find information that is prohibited by laws or administrative regulations, or contains the following content, we will immediately transmit the information, take measures such as removal, and prevent the spread of information. We will also keep relevant records and report to the relevant competent authorities:

(1) Opposes the basic principles established in the constitution;

(2) Harms national unity, sovereignty, and territorial integrity;

(3) Leaks national secrets, endangers national security, or harms national honor and interests;

(4) Incites ethnic hatred, discrimination, undermines ethnic unity, or infringes upon ethnic customs and habits;

(5) Promotes cults or superstitions;

(6) Disrupts social order or undermines social stability;

(7) Induces minors to commit crimes or promotes violence, pornography, gambling, and terrorist activities;

(8) Insults or defames others, infringes upon citizens' personal reputation, privacy, intellectual property rights, and other legitimate rights and interests;
(9) Harms social ethics and damages the nation's excellent cultural traditions;

(10) Contains other content prohibited by laws, administrative regulations, and national regulations.

If the content uploaded, posted, or transmitted by users contains the above-mentioned information or violates the legal rights of any third party, the user shall bear all adverse consequences resulting from it. If it causes adverse consequences to us, the user shall be responsible for eliminating the influence and compensating us for all losses caused by it, including but not limited to property damage compensation, reputation damage compensation, attorney's fees, transportation expenses, and all reasonable expenses incurred due to rights protection or other reasonable expenses required by all platforms.

Users understand and agree not to engage in the following prohibited activities on SheyGo, and also prohibit anyone from using the user's account for the following activities:

(1) Sending any unsolicited or unauthorized junk emails, advertisements, or promotional materials, or any other commercial communications;

(2) Using our platform services for any commercial purposes or for the benefit of any third party without our explicit permission;

(3) Using or exploiting our intellectual property (including our trademarks, brands, logos, any other proprietary data, or the layout or design of any webpage), or any other form of infringement of our intellectual property; or using SheyGo's identification to mislead third parties;

(4) Accessing SheyGo services through any automated means, software, engine, web crawler, web page analysis tool, data mining tool, or similar tool, and collecting or processing content provided through SheyGo services;

(5) Intentionally disseminating viruses, network worms, Trojan horses, or other malicious code;

(6) Attacking or circumventing any security features of SheyGo's systems;

(7) Opening multiple accounts for the purpose of sabotage or abuse, or maliciously uploading repetitive or invalid large-capacity data and information;

(8) Engaging in activities on the Internet that infringe upon the reputation, privacy, intellectual property rights, and other legitimate rights and interests of others;

(9) Violating any relevant Chinese laws, regulations, rules, or ordinances with legal effect;

(10) Modifying, tampering with, blocking, or partially blocking advertisements for SheyGo services and related functions;

(11) Destroying SheyGo's copyright protection measures and using SheyGo's content without permission.

3. The app downloads provided by us can be downloaded and disseminated through network channels. Therefore, for downloads from non-official SheyGo sites, we cannot guarantee whether they are infected with viruses or hide disguised hacker software. Therefore, we are not liable for any direct or indirect losses suffered by users as a result.

4. In no event shall SheyGo be liable for any indirect, consequential, punitive, incidental, special damages arising out of or in connection with the use of SheyGo's services, including but not limited to loss of profits incurred by you in connection with the use of SheyGo's services (even if you have been advised of the possibility of such damages).

5. In any case, the total liability of SheyGo for breach of contract under this agreement shall not exceed the total service fee corresponding to the default service under this agreement.

 

Termination of Service

1. If the actions of a user on SheyGo have an impact on SheyGo or its users, constituting a violation of this agreement, we may, in accordance with relevant rules, take measures such as restricting the user's account, partially or completely suspending the provision of services to the user, and deducting liquidated damages. If the user's actions constitute a fundamental breach, we may terminate the provision of services to the user.

2. If the user's actions on SheyGo violate relevant laws and regulations, we may report to the relevant competent authorities in accordance with the law and submit the user's usage records and other information.

3. The user agrees that if the use of SheyGo's services is interrupted, terminated, or the user's account and related information and files are closed or deleted, we shall not be liable to the user or any third party.

4. If the user's actions cause losses to us and/or our affiliated companies (including our direct economic losses, loss of goodwill, compensation, settlement payments, attorney's fees, litigation costs, and other indirect economic losses), the user shall compensate us and/or our affiliated companies for all the aforementioned losses.

5. If the user's actions result in claims by third parties against us and/or our affiliated companies, we and/or our affiliated companies may seek compensation from the user for all the losses incurred after we assume payment obligations to the third parties.

 

Dispute Resolution and Others

1. For disputes arising from the performance of this agreement, you and SheyGo may resolve them through negotiation. If you are dissatisfied with our response, especially if our information processing has harmed your legitimate rights and interests or those of your users, you may seek a resolution by filing a lawsuit with the people's court having jurisdiction over SheyGo.

2. Under this agreement, you agree that we may retain the right to publicize and release cooperation-related information (excluding information deemed confidential according to this agreement or business norms). You hereby authorize us to reasonably use your name, logo, trademarks, etc., for promotional purposes related to our cooperation, including but not limited to the official website, public account, and other means. However, when using such information, we shall comply with relevant laws and agreements and shall not harm your interests or have a negative impact; otherwise, we shall bear full responsibility.

3. If any provision of this agreement is deemed invalid or unenforceable, the above provision may be severed, and the remaining parts shall still have legal effect.

4. SheyGo has the right to modify certain service clauses of this agreement according to changes in laws, regulations, departmental rules, and national policies. Changes that concern your usage will be communicated to you through official announcements on the website, SMS, email, or other means.
